How we work

From the first institutional contact to disbursement

Five stages, carried end to end by the corporation. Each conditions the next, and none is subcontracted to a third party that would capture its value.

    Institutional relationship

    Dialogue with states and the organisations behind the projects. Memoranda of understanding, letters of intent, and the scoping of needs and commitments.

    Structuring

    Legal and financial engineering of the file: due diligence, contractual documentation, regulatory compliance, execution timetable.

  3. 03

    Deposit and safekeeping

    Guarantees backing the project are deposited and secured in the corporation's name, within a dedicated and traceable contractual framework.

  4. 04

    Enhancement

    Guarantees are put to work with financial partners, under the control and for the benefit of the corporation rather than a third-party operator.

  5. 05

    Project financing

    Funds are released to approved projects, with monitoring of their use and reporting to stakeholders.

Our approach

Owning rather than executing

The difference rests on one point: the corporation owns its platform and controls the assets it structures.

Ownership of the platform

The corporation owns both the tool and the asset. It does not execute on behalf of a third party that would retain title and revenues.

Control of the value chain

Structuring, management and enhancement are handled in house, from the memorandum of understanding through to disbursement.

Operational independence

No dependence on an outside operator for holding the assets or conducting the operations.

Capacity to scale

An architecture designed to handle files of very different sizes without changing the model or the governance.

Governance

Simple rules, written at incorporation

How the corporation is administered, how its shares are recorded and how it binds itself are set out in its constitutional documents, not left to practice.

A two-member board
The corporation is administered by two directors, appointed on the day of incorporation and entered in the Register of Directors.
Signing authority
The signature of any one director is sufficient to bind the corporation.
Registered shares only
Bearer shares are not permitted. Every share is entered in the Register of Shareholders.
Registers maintained
The Register of Directors and the Register of Shareholders are kept at the registered office.
Quorum
Half the directors at board level; half the voting shares in general meeting.
Execution by signature
No common seal has been adopted: documents are executed for and on behalf of the corporation by signature.
